VGDINC reserves the right to correct or modify product images, descriptions, and pricing at any time without prior notice and without incurring any legal or financial liability as a result of such corrections.
3. Intended Customers and Product Use
VGDINC sells to licensed pharmacies (including 503A and 503B entities), laboratories, and other qualified commercial and professional organizations. Orders submitted by private individuals for personal use are not accepted and will be cancelled.
VGDINC makes no representation regarding the suitability of any product for a particular use. It is the sole responsibility of the Purchaser to possess adequate technical knowledge and experience, and to hold any licenses or qualifications required by law, prior to ordering or using any product listed on this website.
4. Privacy and Data Collection
This website collects and stores the customer's IP address to support account administration. This information is kept confidential and will only be disclosed if required by a valid request from law enforcement.
5. Terms of Sale
By submitting an order, the Purchaser agrees to the following terms:
5.1 Lawful Use. All reagents, microbiological diagnostics, vials and associated packaging, laboratory equipment, and other items offered by VGDINC shall not be used for any illicit or illegal purpose.
5.2 Indemnification. Purchaser agrees to indemnify and hold harmless VGDINC, its subsidiaries, suppliers, agents, and employees (collectively, "the Company") from and against any and all loss or liability arising from the purchase, handling, use, or resale of any product or material obtained from the Company, except where indemnification is prohibited by law.
5.3 Independent Parties. Neither party — nor its employees, subcontractors, or agents — shall be considered an agent, partner, joint venturer, or representative of the other party under any circumstances.
5.4 Authority to Contract. Purchaser represents that they are of legal age and have the binding legal authority to enter into this agreement on behalf of the business or professional organization they represent.
5.5 Appropriate Use. Purchaser agrees to use all procured products only within their prescribed and generally accepted industry use.
5.6 Technical Knowledge and Safety. Purchaser agrees to maintain adequate technical knowledge of ordered products and to follow all necessary safety precautions for their handling, use, storage, and transport.
5.7 Regulatory Compliance. Purchaser agrees to comply with all applicable local, state, and federal regulations, including those governing 503A and 503B pharmacy operations where applicable.
5.8 No Warranty; Returns. The Company makes no express or implied warranty regarding the selection, instruction, or use of any product it supplies. Products may not be returned, and no refund will be issued, except where the product received was not the product ordered. Any request for a Return Merchandise Authorization (RMA) must be submitted within 5 days of receipt.
5.9 Collect Shipments. Damage claims for goods shipped collect on the Purchaser's account will not be reimbursed by the Company. When your collect shipping account is used, it is your insurance that covers loss or damage associated with the shipment.
5.10 Customs Clearance. Final clearance and release through the Purchaser's customs authorities is solely the Purchaser's responsibility. The Company is not liable for any loss resulting from delayed customs clearance or return shipment, including damage to perishable items caused by improper storage during that process.
5.11 No Waiver. The Company's failure to enforce any term of this agreement does not constitute a waiver of its rights under that term.
5.12 Entire Agreement. This agreement represents the complete and final understanding between the parties and may only be modified in writing, signed by both parties.
5.13 Acceptance. Submission of an order constitutes the Purchaser's conclusive acceptance of, and consent to, these Terms of Sale.
6. Acknowledgement
By browsing this website or receiving any product or service advertised herein, the customer acknowledges that they have read, understood, and agree to abide by these Terms of Sale. The customer further affirms that they enter into this agreement voluntarily and possess the legal authority to bind the business or professional organization they represent.
